Event Attendee Terms

These Q2B Event Attendee Terms of Service (“Event Terms”) apply to your attendance of, or participation in, any Q2B event hosted or organized by QC Ware Corp. or its affiliates (“QC Ware”), including in-person events and online events (each, an “Event”).

These Event Terms form part of the Agreement between you and QC Ware. QC Ware may also update these Event Terms from time to time. You may not, and you must not, attend or participate in any Event unless you accept these Event Term.

1. Rules of Conduct; Remedial Actions

In connection with each Event, you must comply with any event code of conduct provided or made available to you, including the Code of Conduct available at https://q2b.qcware.com/qc-ware-corp-events-code-of-conduct.

Without limiting any other remedy under the Event Terms or applicable law, if you fail to comply with these Event Terms or any other agreement between you and QC Ware, QC Ware may take any action it deems appropriate in response, including cancelling your Event registration without any refund or banning you from the applicable Event or any or all other Events.

2. Cancellations; Transfers

Other than in connection with QC Ware’s cancellation of an event, fees for registration to an Event are non-refundable, including upon your cancellation of registration for any reason.

Unless otherwise set forth in the hotel’s applicable terms of services, fees for hotel reservations are non-refundable.  Event registrations and badges are personal to the registered attendee and may not be resold, auctioned, advertised for resale, or otherwise transferred without QC Ware’s prior written consent. QC Ware may permit substitutions in its sole discretion and may require verification of identity and/or payment of an administrative fee. QC Ware may cancel any registration obtained in violation of this section without refund.

3. Payments

Registration fees and other charges may apply to your attendance of or participation in an Event. If payment of any fees or charges is required, you may be asked to supply certain relevant information, such as your credit card number and its expiration date, your billing address and your contact information. YOU REPRESENT AND WARRANT THAT YOU HAVE THE RIGHT TO USE ANY CREDIT CARD FOR WHICH YOU PROVIDE ANY CREDIT CARD INFORMATION IN CONNECTION WITH A PAYMENT TRANSACTION. By submitting such information, you grant to QC Ware the right to provide such information to third parties for purposes of facilitating payment transactions. Verification of information may be required prior to the acknowledgment or completion of any payment transaction. You will pay all fees and charges incurred by you or on your behalf in connection with an Event, at the prices in effect and disclosed to you when such fees or charges are incurred. In addition, you are responsible for any taxes applicable to your payment transactions.

QC Ware reserves the right, including without prior notice, to cancel, terminate or impose conditions on the honoring of any coupon, discount or similar promotion. Any refunds for QC Ware’s cancellation of an Event will be subject to QC Ware’s applicable refund policies. Payments made for one Event may not be applied toward the purchase of any other Event, product or services.

4. Badges

For an in-person Event, an Event badge may be available for you to pick up at the designated check-in area of the Event venue during the scheduled Event dates. You may be required to show a government-issued picture identification to pick up your Event badge.  If you register under a particular category to receive a reduced rate, such as academic or student, you may be required to show proof of such status to receive your Event badge. You will not be admitted into the Event venue without an Event badge.

Badges may contain RFID or NFC tags or other technology that may be used to record your attendance and participation in the Event (including visiting booths and attending sessions). By allowing your badge to be scanned at an Event, or by scanning your badge at an Event, you authorize the operator of the badge scanner or similar technology to collect and process such information unless prohibited under applicable law.

You acknowledge that if your badge is scanned by or for any sponsor or other third party with a badge scanner or similar technology for virtual events (each, an “Event Sponsor”), then that Event Sponsor may have access to a third-party report that includes such attendance and participation information, and also certain of your registration information and that Event Sponsor will be the data controller (or similar role under applicable law) with respect to any of your personal data that it processes.  QC Ware is not responsible for the privacy practices of any Event Sponsor or other third party. Please contact the Event Sponsor or third party to learn more about its practices with respect to any information that it collects or to exercise any data subject rights with respect to that Event Sponsor.

QC Ware may make a third-party application and/or website available to you in connection with the Event that includes various functionality such as an Event schedule, an Event map and networking opportunities with other attendees and/or Event Sponsors.  Such third-party application will be subject to third-party terms of use, and your use of such application will depend on your agreement to those terms with the third-party application provider.  QC Ware is not a party to such agreement and shall not be responsible in connection with any breach of those third-party terms by you and/or the third-party application provider.  By using the third-party application, you acknowledge and agree that the third-party application provider may serve as both a data processor, on behalf of QC Ware, and a data controller with respect to the information that you provide to the third-party application provider.  Please contact the third-party application provider to learn more about its practices with respect to any information that it collects or to exercise any data subject rights with respect to information for which it acts as a data controller.

If you do not wish to permit the uses and disclosures of information described in this Section, do not allow any Event Sponsor or third party to scan your badge and/or install or use any conference application.

5. Security

QC Ware reserves the right, including without prior notice, to take any security measures it deems appropriate for the safety of attendees and participants of in-person Events. You will comply with all such security measures, including the following:

• At all times during an in-person Event (including at any Event venue or during any Event session, keynote or other activity), you will wear your Event badge such that it is visible to other Event attendees and participants.  You will not share or exchange your Event badge with any other person. Failure to comply with this requirement may result in confiscation of your Event badge and termination of your attendance or participation in the Event.
• Bags may be checked randomly during certain hours of an in-person Event.
• You will not leave any bags or other property unattended at any time. Unattended property may be removed.
• Except as specifically pre-approved by QC Ware in writing, no persons under 18 years of age will be permitted to attend any Event or portion thereof (including any session, breakout, keynote or other activity), or otherwise be present at any Event venue, including in the expo hall.
• Items prohibited at in-person Events include: firearms and other weapons, explosives, and other hazardous materials or articles. You will not bring with you or have in your possession any such items at any time during your attendance at an in-person Event.

6. Affiliated Services

The website (or any other application or website through which you may register for an Event or access Event information or materials) may contain or make available information on accommodation, transportation, and other services provided by third parties (each, an “Affiliated Service”). For clarity, Affiliated Services are governed by the terms of such third party. For further clarity, hotel reservations are provided as an Affiliated Service, and QC Ware is not responsible for any issues or disputes between you and any hotel. You will be responsible for complying with the hotel’s policies and any additional fees that may be incurred in connection with your hotel reservation, which may include, without limitation, fees for additional guests, late checkout, food and/or additional services. Please note that QC Ware may receive certain benefits from the Event hotel in connection with booked rooms such as a credit against other hotel fees and complimentary hotel rooms for Event staff.

7. Recordings, Personal Release

QC Ware (and/or others on behalf of QC Ware) may be photographing, recording (both audio and video), webcasting, podcasting or otherwise transmitting during an Event (including at the Event venue during an Event session, breakout, keynote or other activity). Your image, likeness, voice, statements and other identifying characteristics (each, an “Image”) may be captured in photographs, recordings (both audio and video), webcasts, podcasts, or other transmissions of the Event (each, a “Recording”).

You hereby grant to QC Ware a worldwide, royalty-free, fully paid-up, non-exclusive, perpetual, irrevocable,  transferable and fully sublicensable (through multiple tiers) license, without additional consideration to you or any  third party, to reproduce, distribute, perform and display (publicly or otherwise, create derivative works of, adapt, modify and otherwise use, analyze and exploit Recordings (including your Images therein), in whole or in part, in  any format or media now known or hereafter developed, and for any purpose (including for promotional purposes, such as testimonials).

QC Ware exclusively owns all right, title and interest (including intellectual property rights) in and to the Recordings, all modifications and derivatives of Recordings, and all proceeds derived therefrom. QC Ware has no obligation to share any such proceeds with you.

You hereby irrevocably waive any right you may have to inspect or approve the use or other exploitation of any Recording or any reproductions thereof, and you agree that QC Ware has no obligation to use any Recording (including any of your Images) or otherwise exercise any of the rights granted to QC Ware with respect to your Images.

Your Images may appear in Recordings made available to the public, and third parties may retain, use or distribute such Recordings. Once made available to the public, QC Ware may not have control over, and is not responsible for, any use or misuse (including any distribution) by any third party of Recordings.

IN CONNECTION WITH THE USE OR OTHER EXPLOITATION OF RECORDINGS (INCLUDING YOUR IMAGES), YOU HEREBY IRREVOCABLY WAIVE AND RELEASE ANY AND ALL CLAIMS WITH RESPECT TO INTELLECTUAL PROPERTY, RIGHTS OF PUBLICITY, RIGHTS OF PRIVACY, AND ANY OTHER CLAIMS OR DAMAGES WITH RESPECT TO SUCH USE OR OTHER EXPLOITATION. YOU AFFIRM THAT YOU ARE OF LEGAL AGE AND HAVE READ THE FOREGOING RELEASE AND FULLY UNDERSTAND ITS CONTENTS.

To the extent applicable law prohibits any of the foregoing, QC Ware shall have such rights to the maximum extent permitted under applicable law.

Except as expressly authorized in writing by QC Ware, you may not record, reproduce, distribute, transmit, publish, stream, or otherwise exploit any Event materials or any portion of an Event. QC Ware reserves the right to confiscate any unauthorized recording devices and to remove any person violating this Section.

8. Assumption of Risk; Health and Saftey

Your attendance of or participation in an Event or any related activities is completely voluntary. QC Ware does not guarantee admittance to all or any part of any Event (including any session, breakout, keynote or other activity).  Unless specified otherwise by QC Ware, all event sessions, breakouts, keynotes or other activities, if applicable, are seated on a first-come, first-served basis.  You agree to comply with all health and safety requirements communicated by QC Ware or the venue.  You acknowledge that attendance at an in-person event may increase your risk of exposure to communicable diseases. TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, YOU ACCEPT AND ASSUME ALL RISKS OF ANY AND ALL PERSONAL INJURY, EXPOSURE TO COMMUNICABLE DISEASE OR DAMAGE TO YOUR PERSONAL PROPERTY THAT YOU MAY FACE WHILE ATTENDING AN EVENT, AND HEREBY WAIVE ANY CLAIMS YOU MAY HAVE AGAINST QC WARE AND QC WARE’S AFFILIATES, EVENT SPONSOR OR EVENT VENDORS (“AFFILIATED PARTIES”) RELATING TO SUCH RISKS.

QC Ware reserves the right, including without prior notice, to limit the number of Event attendees and participants, to cancel or terminate any Event registration, to bar any person from attending all or any part of any Event, and to refuse to provide any person with access to Event materials.

9. Changes to Events, Force Majeure

Events are subject to change at any time. QC Ware does not guarantee the attendance of any third party (including any exhibitor or speaker), or that any scheduled session, breakout, keynote or other activity will take place.

‍

QC Ware reserves the right, including without prior notice, to make any change to an Event program at any time for any reason (including modification of the schedule or content of, or cancellation of, any session, breakout, keynote or other activity). QC Ware is not responsible for, and no reimbursement will be issued in the event of, any change to an Event (including modification of the overall Event program, or the schedule or content of, or cancellation of, any session, keynote or other activity).

QC Ware will not be liable or responsible for any failure or delay in performance under these Event Terms, or for any cancellation, postponement, relocation, or modification of an Event, to the extent caused by or resulting from circumstances beyond QC Ware’s reasonable control, including without limitation acts of God, severe weather, epidemic or pandemic, public health emergency, government order, civil unrest, terrorism, war, labor dispute, fire, flood, venue unavailability, internet or platform outages, or failure of suppliers or subcontractors (“Force Majeure”). In the event of Force Majeure, QC Ware may, in its sole discretion, (a) modify the Event format (including conversion to a virtual Event), (b) reschedule the Event, or (c) cancel the Event. QC Ware will not be responsible for any travel, lodging, or other expenses incurred by you.  If an Event is cancelled due to Force Majeure, QC Ware will provide a credit to you for any paid registration fees that may be used for a future Event.

If QC Ware cancels an Event for a reason other than Force Majeure, QC Ware will provide a refund to you for any paid registration fees, which shall be your sole and exclusive remedy in connection with such cancellation.

10. Limitation of Liability

THE MAXIMUM AGGREGATE LIABILITY OF QC WARE AND ALL AFFILIATED PARTIES, FOR ALL DAMAGES, LOSSES AND CAUSES OF ACTION IN CONNECTION WITH THESE EVENT TERMS OR AN EVENT, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, WILL BE THE GREATER OF US$1,000 OR THE EVENT REGISTRATION FEES, IF ANY, PAID BY YOU TO AND RECEIVED BY QC WARE FOR THE EVENT GIVING RISE TO THE LIABILITY.

11. Governing Law, Forum, Jury and Class Action Waiver

This Agreement shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict-of-laws principles. Unless not permitted under applicable law, any legal action or proceeding arising out of or relating to this Agreement or the event shall be brought exclusively in the state or federal courts located in New York City, New York and the parties hereby irrevocably submit to the personal jurisdiction and venue of such courts.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND QC WARE EACH IRREVOCABLY WAIVE ANY RIGHT TO A TRIAL BY JURY IN ANY LEGAL PROCEEDING ARISING OUT OF OR RELATING TO THESE EVENT TERMS OR ANY EVENT.

YOU FURTHER AGREE THAT ANY CLAIMS BROUGHT BY YOU ARISING OUT OF OR RELATING TO THESE EVENT TERMS OR ANY EVENT MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION.

12. Indemnification

You agree to defend, indemnify, and hold harmless QC Ware, its affiliates, and their respective officers, directors, employees, contractors, agents, sponsors, and vendors from and against any and all claims, demands, actions, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to:

• your violation of these Event Terms or any applicable law or regulation; or
• your violation of any third party’s rights, including intellectual property, privacy, or publicity rights
• your actions during an Event, including any harm to individuals or damage to property caused by you.

13. Sanctions Compliance

You represent and warrant that you are not: (a) located in, organized under the laws of, or ordinarily resident in any country or territory subject to comprehensive U.S. sanctions or sanctions in the jurisdiction of the Event ; (b) identified on any U.S. government restricted or denied party list or similar list in the jurisdiction of the Event; or (c) otherwise prohibited from receiving services or participating in Events under applicable export control or sanctions laws.

You agree to comply with all applicable export control, economic sanctions, and trade laws and regulations of the United States and any other applicable jurisdictions in connection with your attendance at or participation in any Event, including with respect to any Event materials, technology, or information made available to you.

14. Assignment

You may not assign or transfer these Event Terms, in whole or in part, without QC Ware’s prior written consent. QC Ware may freely assign or transfer these Event Terms, in whole or in part, without restriction, including in connection with a merger, sale of assets, reorganization, or by operation of law.

15. Survival

All sections that should naturally survive to give full effect to the terms of such section shall survive termination of these Event Terms.

16. Severability

If any provision of these Event Terms is held to be invalid, illegal, or unenforceable, such provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.
